TENDER NOTICE AND GENERAL CONDITIONS
OF TENDER
Ⅰ 招標(biāo)通告
史密期國際有限公司招標(biāo)委員會主席特發(fā)出招標(biāo)公告，邀請所有符合條件的貨源國造船商，或聲譽卓著、經(jīng)驗豐富的制造商或貿(mào)易公司向史密斯有限公司供應(yīng)兩艘深艙貨輪。
（Ⅰ）TENDER NOTICE
Tenders are hereby invited by the Chairman, Tender Board, Smith International
Co., Ltd. from builders of all the eligible source countries or well reputable
and experienced manufacturers or trading companies for supply of 2 Deep
Hold Cargo Ships (DHCS) to Smith Co.Ltd.
Ⅱ招標(biāo)條件
1． 投標(biāo)書上標(biāo)明向史密斯國際有限公司供應(yīng)的兩艘深艙貨輪的性能規(guī)格。
2． 價格應(yīng)在投標(biāo)書價格表中詳細(xì)標(biāo)明。
3． 截止日期
投標(biāo)書可用掛號郵寄，并在19 年5月15日下午4時前寄達(dá)史密期國際有限公司招標(biāo)委員會主席處。
如果投標(biāo)人委派在 地的代理人處理上述事項，而不是通過掛號出遞，則其代理人須在19 年5月15日下午4時前，及時將按上述要求標(biāo)明的密封投入史密斯國際有限公司大樓的投標(biāo)箱。投標(biāo)書信封上須注明投標(biāo)人的姓名和地址。
（Ⅱ）GENERAL CONDITIONS OF TENDERS
1． Specifications of 2 DHCS to Smith International Co., Ltd. are indicated
in Tender Form.
2． Prices are indicated in details in the Schedule of Prices in Tender
Form.
3． Closing Date
Tenders may be sent and delivered by registered mail to the Chairman, Tender
Board, Smith International Co. Ltd., not later than 4:00 pm on 15May 19--.
If tenderers appoint alternates in (place) to handle the said matter
instead of through registered mail, they can do so provided that their
alternates deposit tenders duly sealed and marked as aforesaid in the Tender
Box in the Building of Smith International Co. Ltd., not later than 4:00
pm on 15 May 19--. The names and addresses of the tenderers shall be indicated
on the envelopes of the tenders.
投 標(biāo) 保 證 金
4．每份投標(biāo)書的正本（而不是副本）應(yīng)附有銀行保函形式的投標(biāo)保證金，由 地的任何銀行支付給史密斯國際有限公司招標(biāo)委員會，金額為壹仟美元。投標(biāo)保證金在招標(biāo)截止日起90天內(nèi)有效。
中標(biāo)人的投標(biāo)保證金在繳納了必要的履約保證金后退回。中標(biāo)人不管因何種原因未能簽署合同，或未能在合同要求的時間內(nèi)繳納履約保證金，投標(biāo)保證金將作為違約賠償金由招標(biāo)委員會主席予以沒收。
未中標(biāo)人的投標(biāo)保證金，將在中標(biāo)人簽署合同之后的一個歷月內(nèi)退還，但最遲不得超過招標(biāo)截止日六個歷月。未附投標(biāo)保證金的投標(biāo)將不予受理。
BID BOND
4．The original, but not the copies, of each tender shall be accompanied
by a Bid Bond, in the form of a Bank Guarantee, payable by any bank in
(place) to the Tender Board, Smith International Co., Ltd. and the payable
sum hereof is USD1,000. The Bid Bond shall be valid for 90 days from the
date of the closing of tenders.
The Bid Bond of a successful tenderer will be refunded upon furnishing
of the required Performance Bond. In case a successful tenderer fails for
any reason to sign such a contract and to furnish the Performance Bond
within the time required in the contract, the Bid Bond shall be liable
to forfeiture to the Chairman, Tender Board, as liquidated damages.
The Bid Bonds of unsuccessful tenderers will be refunded within one (01)
calender month, following the signing of the contract by the successful
tenderer, but in any event not later than six (06) calendar moths, following
the closing of tenders. A tender which is not accompanied by a Bid Bond
will not be considered.

5．開標(biāo)將于19 年5月15日下午4點，在史密斯國際有限公司辦公大樓舉行。投標(biāo)人或其委托的代理人可在開標(biāo)時出席。任何投標(biāo)人或其代理人如有要求，可經(jīng)主席允許并與主席約定，檢查任何遞交的投標(biāo)書副本，以便確認(rèn)開標(biāo)時的報價。
THE OPENING OF TENDERS
5．Tenders will be opened at 4:00 pm on 15 May 19 , at the office Building
of Smith International Co. Ltd. Tenderers or their appointed alternates
may be present at the time of the opening of tenders. Any tenderer or his
alternate, if he so wishes, may, with permission of and by appointment
with the Chairman, examine the duplicates of any tender submitted so as
to confirm the price
給中標(biāo)者的通知書
6．應(yīng)寄送給中標(biāo)人的中標(biāo)通知書如按其提供的地址用掛號郵件寄出，則此通知應(yīng)被視作寄出。
投標(biāo)人應(yīng)在標(biāo)書中注明詳細(xì)地址，以便互相遞交與投標(biāo)有關(guān)的通知、訂單和協(xié)議等。投標(biāo)人如變動地址，應(yīng)書面通知史密斯國際有限公司。此后，上述通知、訂單和其他信件應(yīng)按變動地址發(fā)送。
NOTICE TO SUCCESSFUL TENDERERS
6．Notices of the accepted tenders required to be given to successful tenderers
shall be deemed to have been so given to them if addressed and sent through
the registered post to them at the addresses specified by them.
Tenderers shall have to specify in their tenders at which notices, orders
and agreements, etc. relating to the tender can be delivered or sent to
one another. Tenderers may change their addresses by informing Smith International
Co.Ltd., of such changes in writing and thereafter the above notices, orders,
and other communications from one another shall be delivered or sent at
the changed addresses.
接受或拒絕全部投標(biāo)或接受部分投標(biāo)的決定權(quán)
7．投標(biāo)委員會保留拒絕或接受任何投標(biāo)或接受部分投標(biāo)的全部權(quán)力，而不需為此陳述任何理由。投標(biāo)者的投標(biāo)有可能被部分接受而其所報價格仍保持不變，對此投標(biāo)者應(yīng)有思想準(zhǔn)備。中標(biāo)通知將在投標(biāo)截止之后，按有關(guān)投標(biāo)文件上注明的地址，盡早用掛號郵件寄給中標(biāo)人。中標(biāo)人將被邀請進(jìn)行磋商，以保證合同的順利履行。
DISCRETION TO ACCEPT OR REJECT
ANY TENDER OR ACCEPT ANY TENDER IN PART
7．The Tender Board reserves full discretion, without assigning any reason
therefor, to reject or accept any tender or accept any tender in portion.
Tenderers are advised to prepare for the possibility that the tenders they
put in may be partially accepted and the prices quoted therein will remain
unchanged. Notices of the accepted therein will be sent by registered post
to the successful tenderer or tenderers at the address or addresses specified
by him or them in the relevant tender document． as soon as possible after
the closing date of tender. The successful tenderers shall be invited to
hold discussions for the satisfactory performance of the contract.
資 歷 證 明
8．投標(biāo)人應(yīng)提供令滿意的證據(jù)，證明他們是合格的船舶制造商或合格船舶制造商的授權(quán)代表，有足夠的技術(shù)知識、實踐經(jīng)驗和資金能力提供安裝有同類裝備和樣式相似的深艙貨輪，并要求其在投標(biāo)時提供一份至少有三家不同客戶的名單，名單應(yīng)表明所有這些客戶均使用過與所提供的深艙貨輪相似的貨輪，同時須注意客戶的地址、訂貨日期和交船日期。
QUALIFICATION
8．Tenderers shall provide satisfactory evidence that they are qualified
shipbuilders or authorised representatives of qualified shipbuilders having
adequate technical knowledge, effective experience and financial strength
to supply the DHCS installed with the similar equipment and of the similar
model as specified and are required to make tenders with a list of at least
three separate customers attached. The list shall indicate that all these
customers attached. The list shall indicate that all these customers were
the users of the DHCS similar to those offered. In addition, the purchasers'
addresses, the dates of the orders and the delivery of vessels shall also
be stated on the list.
行 賄 和 舞 弊
9．如發(fā)現(xiàn)供方行賄、送禮或提供傭金，或在合同的價格或支付條款上進(jìn)行其他違法活動，買方有權(quán)取消已簽署的合同，并要求賠償因取消合同而遭受的全部損失。
BRIBERY AND CORRUPTION
9．As for suppliers who offer bribes, presents or commissions, or carry
out other illicit activities in the prices or payment terms of the contract,
the purchasers are entitled to cancel the signed contract and demand an
indemnity for all losses caused by such a cancellation.
語 言
10．所有的合同、買賣雙方之間的書信往來、圖紙、說明書、手冊以及其他所有文件，均應(yīng)用英語書寫。合同中應(yīng)采用公制計量單位，除非買方另有要求。
本合同所述的工程以及使用的代號和標(biāo)準(zhǔn)，須以合同文件中的規(guī)定或經(jīng)買方認(rèn)可為準(zhǔn)。
LANGUAGE
10．All contracts, communications between the Supplier and the Purchaser
and drawings, instructions, manuals and all the other document． shall be
written in the English Language. The metric system of weights and measures
shall be introduced in this contract unless otherwise instructed by the
Purchaser.
The works referred to and the codes of practice and the standards used
herein shall be subject to those specified in the contract document．nbspor
acceptable to the Purchaser.
注 意 事 項
11．投標(biāo)人須完全熟悉標(biāo)書中規(guī)定的條款和條件。屆時任何人均不得以資料不全或不明了為借口而不遵守投標(biāo)書的條款和條件。
有關(guān)本次招標(biāo)的其他情況，請與史密斯國際有限公司招標(biāo)委員會聯(lián)系。
CAUTION
11．The tenderer must acquaint itself fully with the terms and the conditions
referred to in the Tender. No one will be allowed not to follow the Tender
terms and conditions at any time pretending that the information they obtained
is not adequate or they are not clear about what they should do under the
Tender.

價 格
12．投標(biāo)價格應(yīng)以美元或深艙貨輪制造國的貨幣表示。如有可能，投標(biāo)人應(yīng)在投標(biāo)時提出他們最優(yōu)惠的信貸條款和財政便利的詳情。深艙貨輪的報價應(yīng)盡可能采用固定價格，或采用基價加浮動的公式，但投標(biāo)人應(yīng)對浮動公式作出說明，并提供最近三年相應(yīng)指數(shù)的副本。
13．投標(biāo)人應(yīng)以下列方式分別予以報價（詳見投標(biāo)書）。
14．深艙貨輪經(jīng)試航和測試后在A港交船。
15．深艙貨輪經(jīng)買方指定的檢驗人員試航和測試后，在建造商的船塢交船，在建造商保證人員的保駕下，由史密斯國際有限公司的船員駛回。為此，建造商應(yīng)承擔(dān)所有的費用，包括海上航行費用、每艘船上5名史密斯國際有限公司船員從A港飛到船塢的機票費以及在供方所在國的食宿費用。
16．投標(biāo)書應(yīng)包含用于維護(hù)保養(yǎng)的技術(shù)說明書和船舶手冊的固定價格。
17．價格表中的投標(biāo)價格應(yīng)分別用數(shù)字和文字填寫。如數(shù)字與文字有所不符，則以文字為準(zhǔn)。如果投標(biāo)書的價格未用文字表示或有任何填寫錯誤，則按不安全的投標(biāo)書予以拒絕。投標(biāo)書中凡有改動和擦掉之處，均應(yīng)由有關(guān)投標(biāo)人簽名。
18．凡投標(biāo)人未標(biāo)明價格的特別項目，應(yīng)視其價格已包含在其他項目的價格中。標(biāo)書的各方面內(nèi)容均應(yīng)填寫完整，不完整的投標(biāo)書可能會遭拒絕。投標(biāo)人應(yīng)在其不擬報價的項目欄中寫上“無”字。
PRICES
12．Tender value should be stated in United States Dollars or as an alternative
in the currency of the DHCS building country. Tenderers are required to
put forward, if possible, their most favourable credit terms and details
of finance facilities while making tenders. The prices quoted for the DHCS
should, as far as possible be on a fixed basis, or as an alternative on
a formula basis of a basic price plus escalation; the escalation formula,
however, should be explained and copies of the last three years' relevant
indices should be provided.
13．The tenderers are required to quote the prices separately in the following
manner: （details are set out in Tender form.）
14．The DHCS shall be delivered at port A after due trial voyage and tests.
15．The DHCS will be delivered at the Builder's shipyard after due trials
and tests by Inspectors appointed by the purchaser and be sailed by a Smith
International Co. Ltd., crew with the Builder's guarantee crew on board.
For this purpose, all expenses including the running costs and the fees
of air tickets for the Smith International Co.Ltd. 5-member crew in respect
of each DHCS flying from Port A to the shipyard and their accommodation
expenses during their stay in the supplier's country shall be paid by the
builder.
16．The tenders should include the technical specifications for the planned
maintenance purpose and the fixed price of ships handbooks.
17．The tender rates shall be entered in the Schedule of prices in figures
and repeated in words. If there is any discrepancy between the words and
the figures, the amount stated in words will be treated as the amount offered.
If any tenders with rates not stated in words or with any error therein,
as the imperfect tenders, will be liable to be rejected. All alterations
and erasures in the tender document．nbspshall be initialled by the tenderer
concerned.
18．Where no price is entered by the tenderer against any particular item,
it will be assumed that the cost of that particular item is covered by
the prices entered against other items. The tenders should be complete
in every respect and any tender which is not complete may be rejected.
The tenderers shall enter the word "NONE" against any item for which he
does not wish to quote.
付 款 條 件
19．投標(biāo)人應(yīng)提供最優(yōu)惠的付款條件和支付方式。建造過程中的應(yīng)付款應(yīng)按下列付款條件處理：
A．合同簽定時，應(yīng)預(yù)付合同金額的10%。中標(biāo)人應(yīng)提供一份以史密斯國際有限公司為受益人的這筆金額的銀行保證函，由在 地注冊的一家商業(yè)銀行開具。
B．每艘深艙貨輪船體分段合攏時，支付船價的25%。
C．每艘深艙貨輪的主機在建造商船塢交貨時，支付船價的20%。
D．每艘深艙貨輪下水時，支付船價的15%。
E．每艘深艙貨輪交貨時，支付船價的25%。
F．每艘深艙貨輪的保修期為12個月，在保修期結(jié)束時支付船價的5%。每（A）條中所指的銀行保函，其有效期應(yīng)截止到規(guī)定的交船期，或可延長至雙方同意的日期。銀行保函的總金額應(yīng)隨每一艘深艙貨輪的交付而逐漸減少。
TERMS OF PAYMENT
19．Tenders should offer the most favourable terms and method of payment.
If any amount becomes payable during the course of construction, the terms
of such payment will be as follows:
A．A prepayment of 10% of the contract price shall be made upon the signing
of the contract. A Bank Guarantee issued by a commercial Bank having a
registered office in （place）should be provided for this amount by the
successful tenderer in favour of Smith International Co. Ltd.
B．25% of the Unit Price upon the laying of hull blocks of each DHCS.
C．20% of the Unit Price on the delivery of main propulsion machinery of
each DHCS at the Builder's Yard.
D．15% of the Unit Price on the launching of each DHCS.
E．25% of the Unit Price on the delivery of each DHCS.
F．5% of the Unit Price will be retained for a period of 12 months which
would be the guarantee period in respect of each DHCS. The Bank Guarantee
referred to in (A) above should be valid until the agreed dates of delivery
or as may be extended until such time as may be agreed by both parties
involved. The sum of the Bank Guarantee should be accompanied by a progressive
decrease on the basis of delivery of each DHCS.

20．每一艘深艙貨輪所附的規(guī)格說明書中的全套技術(shù)文獻(xiàn)應(yīng)使用英文，包括投標(biāo)書、總圖、設(shè)計圖、外形圖、截面圖、透視圖和船體側(cè)面圖。
21．技術(shù)文件應(yīng)提供所需的一切資料，所附近的說明書應(yīng)一式三份，每份都應(yīng)由投標(biāo)人簽字。
22．按附近件目錄提供機器/設(shè)備清單。
23．投標(biāo)書應(yīng)包括一份投標(biāo)人出具的保證書，保證他所提供的深艙貨輪完全符合說明書中規(guī)定的全部要求。
24．投標(biāo)書中應(yīng)有一份用印刷體在寫字母標(biāo)明“正本”字樣。
25．投標(biāo)人必須明確說明其建造的每一艘深艙貨輪與各項技術(shù)規(guī)格的符合程度。凡不能滿足規(guī)格要求的任何一項，投標(biāo)人必須標(biāo)出并陳述理由。
26．投標(biāo)書應(yīng)呈交三份，每份應(yīng)由投標(biāo)人簽字，并附兩份簽了字的投標(biāo)條件（價格和付款條款），一起裝入密封信封。信封左上角標(biāo)明“致史密斯國際有限公司兩艘深艙貨輪投標(biāo)書”，寄史密斯國際有限公司招標(biāo)委員會主席。
27．代理人代表建造商或委托人進(jìn)行投標(biāo)，需持有建造商或委托人的授權(quán)書，授權(quán)他/他們代表建造商或委托人投標(biāo)，并代表他/他們簽訂有效合同或履行有關(guān)條款。其他代理投標(biāo)一律不予考慮。
DEFINITION, CONTENTS OF TECHNICAL
COCUMENTATION
20．One complete set of technical literature described in the attached specifications
in respect of each CHCS offered shall be supplied in the English Language
along with the tender, general drawings, design drawings, dimensional drawing,
section drawings, perspective drawings and sheer drawings.
21．Technical document． shall provide all information as required herein,
and the attached specifications shall be submitted in three copies, each
copy being signed by the tenderer.
22．Lists of Machinery/Equipment as per schedule of Annex.
23．Tenders shall include a Certificate of Guarantee from the tenderer that
the CHCS offered by him shall be fully capable of meeting all requirements
laid down in the specifications supplied to him herewith.
24．One copy of the tender shall be marked "ORIGINAL" in block capitals.
25．Each tenderer must state explicitly the degree of conformity of his
CHCS to each item of the specifications laid down herein for that particular
DHCS. The tenderer must draw attention to any deviation from any item of
specifications with reasons for such deviation.
26．The tender shall be submitted in three copies, each copy being signed
by the tenderer together with two signed copies of the conditions（prices
and terms of payment）of tender, enclosed in one sealed cover marked "GENDER
FOR GHE 2 HDCS TO THE SMITH INTERNATIONAL COMPANY LTD." on the top, left
hand, outside corner and should be addressed to the Chairman, Tender Board,
Smith International Co. Ltd.
27．No tender from accredited agents on behalf of Builders or their Principals
will be considered unless the principal's agents hold a Power of Attorney
from the Builder or Principals empowering him/them to tender on their behalf
and to enter into a valid contract on behalf of the Builder or principals
to fulfill the terms and conditions of the said supply.
檢 驗
28．供方應(yīng)按要求至少提前六周通知深艙貨輪的測試日期，以便招標(biāo)委員會主席做好測試安排。未經(jīng)招標(biāo)委員會主席或其正式委任的代表——檢驗人員的檢驗、測試和批準(zhǔn)，該船不得進(jìn)行交接。
29．供方應(yīng)向檢驗人員提供檢查、檢驗、測試和測量用的一切合理、適用設(shè)施。
凡與規(guī)格不符的材料無法不予使用，供方在接到此類拒用通知后，應(yīng)免費予以更換。施工前，供方應(yīng)就局部施工方式取得檢方認(rèn)可，并提供檢方要求的圖樣和資料。
檢驗費用由史密斯國際有限公司招標(biāo)委員會負(fù)擔(dān)。
INSPECTION
28．The Supplier should, if so required, give at least 6 weeks' notice of
the date on which the DHCS will be ready for test/trials at works to enable
the Chairman of the Tender Board to arrange for such tests, Such DHCS shall
not be despatched until inspected, tested and approved by the Chairman
of the Tender Board or a duly accredited representative of the Chairman
of the Tender Board referred to as the inspector.
29．The Supplier shall afford to the Inspector all proper and reasonable
facilities for examining, inspecting, testing and gauging.
Any materials which do not comply with the specifications will be rejected,
and the Supplier will be required to replace such rejected materials with
materials equal to the offer, free of charge, on being notified of such
rejections. Before proceeding to execute any work, the supplier shall obtain
the Inspector's approval of the manner in which the supplier proposes to
execute a portion of the work and shall furnish such drawings or information
as the Inspector shall require. Inspection fees will be for the account
of the Tender Board of Smith International Co. Ltd.
交貨起始日
30．中標(biāo)人一經(jīng)接到中標(biāo)通知，即應(yīng)開始供貨和交貨，而不必等到正式合同的簽署。在合同正式簽署之前，招標(biāo)委員會主席和供貨方應(yīng)簽發(fā)一份意向書，陳述協(xié)議的概要，意向書日期即為深艙貨輪交船的有效起始日。
COMMENCEMENT OF DELIVERY
30．The successful Tenderer on receipt of notification that his tender has
been accepted shall commence supply and delivery without waiting for the
execution of the formal contract. A Letter of Intent shall be issued by
the Chairman of the Tender Board and Supplier setting out the broad features
of the agreement pending the execution of the formal contract. The date
of the Letter of Intent shall be the effective date of commencement of
delivery of CHCS.
保 修 期
31．供方同意對深艙貨輪的設(shè)計和安裝予以質(zhì)量保證，保修期自深艙貨輪在船塢交船日起，為期一年。
32．在保修期內(nèi)，凡因建造和材料的質(zhì)量問題而造成的缺陷，均由供方予以排除、修理和更換。
33．對于因操作不當(dāng)造成的正常磨損，或因直接或間接事故造成的損失，供方不必賠償。
GUARANTEE
31．The Supplier agrees to provide a Quality Guarantee for design and installation
of CHCS within a guarantee period of one year from the dates when the CHCS
are delivered at shipyard.
32．Within this guarantee period, all defects due to quality problems of
construction and materials shall be either removed, repaired or replaced
by the Supplier.
33．The Supplier shall not be obligated to compensate either for normal
wear and tear caused by wrong operation or for the losses due to direct
or indirect accidents.
保 險
34．如有要求，供方應(yīng)將深艙貨輪準(zhǔn)備交船日期及時通知招標(biāo)委員會主席，以便在A地保險公司辦理貨輪保險手續(xù)。貨輪未辦保險不得啟航。
35．供方在保管建造深艙貨輪所需的材料、設(shè)備、機器、發(fā)動機和部件期間，應(yīng)全額投保上述器材和物品。供方在向買方交船時，也應(yīng)按本條款規(guī)定對深艙貨輪進(jìn)行投保，保險費按買賣雙方商定的比例共同負(fù)擔(dān)。
INSURANCE
34．The Supplier must, if so required, give suffcient notice to the Chairman
of the Tender Board of the date on which the DHCS will be ready for dispatch
to have the DHCS insured with the Insurance Corporation of place A and
such DHCS shall not be dispatched until they are so insured.
35．The Supplier shall keep insured all materials, equipment, machinery,
engines and components required for the construction of the DHCS by the
said Supplier for the full value of such materials, equipment, machinery,
engines and components are under the Supplier's custody. The Supplier shall
also insure the DHCS whilst taken delivery of by the Purchaser under the
terms hereof. The insurance costs shall be jointly divided between the
Purchaser and the Supplier at a ratio to be decided by them jointly.
不 可 抗 力
36．如果因戰(zhàn)爭、動亂、罷工、時疫、地震、火災(zāi)、風(fēng)暴、洪水或其他由于不可抗力或雙方無法控制的局面影響了供方供貨，合同條款應(yīng)按實際情況作相應(yīng)修改。
37．受阻方應(yīng)在發(fā)生不可抗力事件后盡快用電報通知另一方，并在發(fā)報后10天內(nèi)用航空掛號郵件將有關(guān)當(dāng)局出具的證明書提交另一方確認(rèn)。
FORCE MAJEURE
36．In the event of war, disturbance, strike, epidemic, earthquake, fire,
storms, floods or other hindrance affecting the supplier, being an act
of God or beyond the control of the parties, the terms of the contract
shall be subject to such modification as the circumstances may warrant.
37．The prevented party shall notify the other party by cable within the
shortest possible time of the occurrence of the Force Majeure and within
10 days therein and send by registered airmail to the other party a Certificate
for Evidence issued by the relevant authorities for confirmation by the
party.
技術(shù)規(guī)格的修改
38．經(jīng)雙方同意對技術(shù)規(guī)格所作的任何修改和由引而引起的任何附加費用以及交船日期的變動，均應(yīng)由雙方書面確認(rèn)，并列為合同的一部分。除了應(yīng)由買方保留支付的那部分款項外，如有需要，買方還應(yīng)保留支付費用的百分之五（5%）。所保留的總金額應(yīng)在保修期終止時由買方支付給供方。
39．如果規(guī)格有任何修改、變動或增訂，買方可一次或多次將交船時間推遲至買、賣雙方商定的日期。
MDIFICATION OF SPECIFICATIONS
38．Any modification of the specification and any extra charge thereof and
changes in delivery dates as agreed between the parties shall be confirmed
in writing by the parties and shall form part of the contract. Five percent
(5%) of such extra charge, if any, shall be retained by the Purchaser in
addition to the amount that shall be retained by him. The total amount
so retained shall be paid to the Supplier by the Purchaser at the expiry
of the guarantee period.
39．In the event of any modifications, alterations, amendments or additions
to the specifications, the Purchaser may once or often extend the time
fixed for the delivery of the DHCS to such date or dates as may be agreed
upon by the Supplier and the Purchaser.
工 程 進(jìn) 度
40．供方不得以任何理由拖延施工進(jìn)度，如果買方認(rèn)為工程或其中一部分進(jìn)展緩慢而不能確保在規(guī)定時間內(nèi)或已延長的時間內(nèi)完成，則買方應(yīng)書面通知供方，供方應(yīng)采取買方認(rèn)可的必要措施加快工程進(jìn)度，以便在規(guī)定時間內(nèi)或已延長的時間內(nèi)完成全部工程或其中一部分。采取此類措施而產(chǎn)生的額外費用，應(yīng)由供方負(fù)擔(dān)。
RATE OF PROGRESS
40．If for any reason which does not entitle the Supplier to an extension
of time, the rate of progress of the work or any section is at any time,
in the opinion of the Purchaser, too slow to ensure completion by the prescribed
time or extended time for completion, the Purchaser shall so notify the
Supplier in writing and the Supplier shall thereupon take such steps as
are necessary and the Purchaser may approve, to expedite progress so as
to complete the work or such section by the prescribed time or extended
time. The Supplier shall be entitled to any additional payment for taking
such steps.
遲交違約賠償金
41．如果供方因增加工作量、進(jìn)行修改或改進(jìn)而在規(guī)定時間內(nèi)，或買方規(guī)定的延長期內(nèi)，或供方因無法避免的原因并經(jīng)買方書面同意而進(jìn)一步延長的期內(nèi)仍未能建成或交付每艘深艙貨輪，則供方應(yīng)向代表招標(biāo)委員會主席的買方每月支付每艘深艙貨輪價格的1%作為違約賠償金，但不作罰款論。如能證明延誤是從方不可避免的、無法預(yù)見的或無法克服的，則買方可以同意將原定的交船日期向后推延。
LIQUIDATED DAMAGES FOR DELAY
41．If the Supplier fails to construct and deliver each DHCS within the
prescribed time or within such extended time or times as fixed by the Purchaser
for executing any additional work, alterations, amendments or modifications,
or within such further extensions of time as may be granted by the Purchaser
in writing for reasons of unavoidable delays on the part of the Supplier,
then the Supplier shall pay to the Purchaser on behalf of the Chairman
of the Tender Board one percent (1%) per month, as liquidated damages and
not as penalty, of the unit price for each DHCS. Provided that it is proved
that any delay has arisen from causes which were unavoidable and could
not have been foreseen or overcome by the Supplier, the Purchaser may then
grant such period of time beyond the scheduled date.
減速違約金
42．如果深艙貨輪未能按性能規(guī)格要求達(dá)到最高航速，則供方應(yīng)同意按下列速度降低的比例支付違約賠償金：
（a）0.5節(jié)或不到0.5節(jié)——單價的1%。
（b）大于0.5或至1節(jié)（包括1節(jié)）——單價的5%。
（c）大于1節(jié)至2節(jié)（包括2節(jié)）——單價的10%。
（d）大于2節(jié)最多3節(jié)——單價的15%。
LIQUIDATED DAMAGES FOR SPEED REDUCTION
42．The Supplier should agree to pay liquidated damages on the under-mentioned
scale for any speed reduction, if the DHCS fails to reach maximum speed
as per specifications:
（a）0.5 of a knot or less—one percent (1%) of unit price.
（b）More than 0.5 to 1.0 knot inclusive—Five percent (5%) of Unit Price.
（c）More than 1.0 to 2.0 knots inclusive—Ten percent (10%) of Unit Price.
（d）More than 2.0 knots to a maximum of 3.0 knots—Fifteen percent (15%)
of Unit Price.
退 款
43．如果任何一艘深艙貨輪因任何原因造成全損或嚴(yán)重?fù)p壞，買方有權(quán)作出抉擇：或讓供方繼續(xù)履行合同，或終止合同。如終止合同，則供方應(yīng)將按合同規(guī)定已支付的款項全部退還給買方。凡已裝船或尚待裝船的所有材料、調(diào)和、機器、引擎或部件因任何原因遭到嚴(yán)重?fù)p壞，投標(biāo)書中規(guī)定的交船日期應(yīng)推遲到雙方共同商定的日期，以便重新施工，并購得所有材料、設(shè)備、機器、引擎或部件，以替換已損壞的部分。
REFUND OF MONEY
43．Should any DHCS, by any cause, become a total loss or should any of
them be seriously damaged by any cause whatsoever, the Purchaser may at
his sole discretion select either to have the contract fulfilled by the
Supplier or determine this contract void. In the event the contract is
determined void, the Supplier shall refund to the Purchaser all money paid
under contract. If any or all of the materials equipment, machinery, engines
or components built or to be built into the DHCS be seriously damaged by
any cause whatsoever, the delivery date of the DHCS specified herein shall
be deferred for such time as mutually agreed by the Supplier and the Purchaser
in order to reinstate the work and to purchase and obtain the delivery
of all materials, equipment, machinery, engines or components in substitution
for those damaged.
違 約
44．如果深艙貨輪未在投標(biāo)書或合同規(guī)定的時間內(nèi)交付或供貨，招標(biāo)委員會主席將在不排除對違約作其他補救的情況下，保留終止合同的全部或違約部分的權(quán)力。
45．一旦違約，主席將保留從其他來源訂購相同或類似深艙貨輪的權(quán)利，以彌補違約所造成的損失。
46．因違約造成的超出招標(biāo)價格的一切費用，應(yīng)由供方負(fù)擔(dān)。
EFAULT OF CONTRACT
44．Should the delivery or supply of any DHCS not be completed within the
time or times specified in the tender or contract, the Chairman reserves
the right, without prejudice to any other remedy for breach of contract,
to terminate the contract either wholly or partially in default.
45．In case of default, the Chairman reserves the right to order from alternative
sources DHCS of the same or similar description to make good such default.
46．Any excess of the new price over the tendered price appropriate to such
default shall be recoverable from the Supplier.
履約保證金
47．中標(biāo)人應(yīng)在收到中標(biāo)書后兩周內(nèi)，自費取得有信譽銀行（需經(jīng)主席批準(zhǔn)）出具的履約保證金擔(dān)保，履約保證金額為合同金額的5%，以保證按時履行合同。如果合同金額明顯增加，主席可要求另外增加一份保證金。
48．銀行保函的有效期應(yīng)以規(guī)定的交貨期或雙方同意的延長期為止。每交付一艘深艙貨輪，銀行保函的金額應(yīng)按比例減少。
PERFORMANCE BOND
47．The successful tenderer shall, within two weeks of the issue of a Letter
of Acceptance, at his own expense obtain in the form of a performance Bond,
the guarantee of a reputed bank（to be approved by the chairman）in a sum
equivalent to five （5）percent of the contract price for the due performance
of the contract. The Chairman may require an additional Bond if the contract
is increased appreciably.
48．The Bank Guarantee should be valid until the agreed dates of delivery,
or as may be extended through agreement by both parties. Proportionate
reductions of the Bank Guarantee will be made on delivery of each DHCS.
合 同 轉(zhuǎn) 包
49．中標(biāo)人未經(jīng)主席書面授權(quán)，不得把投標(biāo)并中標(biāo)的供貨或提供服務(wù)的義務(wù)轉(zhuǎn)讓或分包給他人。如果中標(biāo)人已轉(zhuǎn)讓或分包了上述義務(wù)，他就應(yīng)對受讓方或分包商的按時履約承擔(dān)責(zé)任。主席有權(quán)拒絕承認(rèn)中標(biāo)人出具的、準(zhǔn)許他人代表其實施工程的授權(quán)書。如果幾家公司聯(lián)合投標(biāo)而獲得合同，他們應(yīng)對按時履約負(fù)有連帶責(zé)任。
SUBLETTING OF CONTRACT
49．The successful tenderer shall not assign or sublet, without the written
authority of the Chairman, his obligations to supply any item or perform
any service as tendered and accepted. If any part of his obligations have
been so assigned held responsible for the due performance in respect of
the party so assigned or sublet. The Chairman reserves the right to refuse
to recognize a Power of Attorney issued by the successful tenderer to any
person authorising him to carry out the work on his behalf. If one or more
companies, which have combined together for the purpose of tendering, are
awarded the contract, they shall be jointly and severally responsible for
its due performance.
